End User License Agreement

Carto Ventures QBO Connector — Internal Use Only
Effective: June 7, 2026

This End User License Agreement ("Agreement") governs use of the Carto Ventures QBO Connector ("the Connector"), an internal-use software application developed and operated by Carto Ventures, Inc.

1. Single-Organization Use

The Connector is licensed solely for use by Carto Ventures, Inc. and its authorized employees, contractors, and automated systems for the purpose of integrating QuickBooks Online with Carto Ventures' internal financial operations.

2. No Third-Party Distribution

The Connector is not distributed, sold, sublicensed, or otherwise made available to any third party.

3. Scope of Use

The Connector accesses QuickBooks Online data via the Intuit API solely for: (a) automated ingestion of vendor bills and vendor credits received in Carto Ventures' accounts-payable email inbox; (b) reconciliation of vendor-issued credit memos against return events; and (c) accounts-payable aging accuracy.

4. Intellectual Property

All rights, title, and interest in the Connector remain with Carto Ventures, Inc.

5. No Warranty

The Connector is provided "AS IS" without warranty of any kind, express or implied, including without limitation the implied warranties of merchantability and fitness for a particular purpose.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Carto Ventures, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to use of the Connector.

7. Governing Law

This Agreement is governed by the laws of the United States.
